Sponsorship Package Benefits & Terms

1. Parties

This Sponsorship Agreement (“Agreement”) is entered into between Hawaii Tech Week LLC (“HTW”), located at 435 Puamamane Street, Honolulu, HI 96821, and the sponsoring organization (“Sponsor”).

2. Purpose

HTW organizes Hawaii Tech Week, a week of independently-organized events focused on promoting and showcasing Hawaii’s tech ecosystem, and content and media related to the week. Sponsor desires to support and participate in Hawaii Tech Week 2026 as a sponsor under the terms and conditions set forth herein.

3. Sponsorship Benefits

By completing checkout, Sponsor confirms selection of a sponsorship tier and the corresponding fee. Sponsor shall receive the benefits designated for that tier in the Package Benefits table above, plus any additional benefits agreed upon in writing. The sponsorship period covers the 2026 calendar year. Hawaii Tech Week 2026 live events take place August 31 – September 6, 2026 in Honolulu, HI. Brand placement, content production, and media deliverables are delivered throughout the calendar year as specified by the packages and selected tier.

4. Payment Terms

Sponsor agrees to pay HTW the sponsorship fee for the selected tier plus applicable state taxes and fees. An invoice will be issued after Sponsor completes checkout. Payment is due within 14 days of invoice date via ACH, wire transfer, or credit card. Sponsorship benefits activate upon receipt of payment. Late payments may result in delayed activation of benefits. Additional sponsorship opportunities beyond the selected tier (e.g., add-ons, venue fees, sponsorship of special events) are available and will be scoped and invoiced separately. The terms of this Agreement apply to any additional sponsorship opportunities unless otherwise agreed in writing.

5. HTW Obligations

HTW shall be responsible for delivering the benefits outlined in the Package Benefits table for the Sponsor’s selected tier. This includes, as applicable: brand placement, content production, support of sponsor events, and related benefits to HTW anchor events. HTW will begin integrating Sponsor’s brand within 5 business days of payment clearing, provided Sponsor has completed the onboarding form.

6. Sponsor Obligations

Sponsor shall provide HTW with high-resolution logos, marketing materials, and other necessary information as part of sponsor onboarding. Sponsor understands that HTW will not conduct promotional activities on behalf of the Sponsor until the sponsor onboarding form has been completed. Sponsor agrees to comply with all applicable laws and regulations and HTW’s Terms & Conditions.

7. Content & Brand License

With respect to any materials provided to HTW by Sponsor, or content captured by HTW relating to the Sponsor, HTW shall have a fully paid, non-exclusive, perpetual, worldwide license to use said materials for promotional purposes of HTW only, unless agreed to otherwise by the parties or later revoked in writing by the Sponsor. HTW grants Sponsor the right to reference their sponsorship of Hawaii Tech Week 2026 in their own materials.

8. Term, Termination & Cancellation

This Agreement shall commence on the date the Sponsor completes checkout and continue until the conclusion of all sponsorship benefits being delivered. Sponsor may cancel this Agreement within 14 days of the payment date by written notice to HTW, and HTW shall return the full balance to the Sponsor. HTW reserves the right to terminate this Agreement at any time, for any reason, by providing written notice to the Sponsor. In such cases, HTW will refund the full sponsorship amount paid by the Sponsor, regardless of any benefits already delivered. 9. Force Majeure

In the event Hawaii Tech Week 2026 is cancelled due to force majeure causes (including but not limited to natural disasters, pandemics, government orders, or other circumstances beyond HTW’s reasonable control), the Sponsor will be credited the same sponsorship level for the following year’s event.

10. Limitation of Liability

In no event shall either party be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement. Each party’s total liability under this Agreement shall not exceed the sponsorship amount paid.

11. Indemnification

Each party agrees to indemnify, defend, and hold harmless the other party from and against any claims, liabilities, damages, and expenses arising out of that party’s participation in or obligations under this Agreement, except to the extent such claims arise out of the other party’s gross negligence or willful misconduct.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Honolulu County, Hawaii.

13. General Provisions

• Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, with respect to the subject matter hereof.
• Amendment: This Agreement may be amended only by a written instrument executed by both parties.
• Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party.
• Notices: Any notice required or permitted under this Agreement shall be in writing and shall be deemed duly given if delivered via email to the other party at the email address provided during checkout.
